I recognize PRO's officers have strong personal convictions regarding the ethical conduct of all PRO AFFILIATEs. d) I will make no income claims or representations regarding the PRO income potential. PRO will only knowingly provide the myprou.co Service to parties that can lawfully enter into and form contracts under applicable law. CONFIDENTIALITY 3.1. For the purpose of this User Agreement, "Confidential Information" shall be deemed to include all information and materials that: (a)if in written format is marked as confidential, or (b) if disclosed verbally is noted as confidential at time of disclosure, or (c) in the absence of either (a) or (b) is information which a reasonable party would deem to be non-public information and confidential. 3.2. Confidential Information shall include, but is not limited to: this User Agreement; all information provided on and/or through myprou.co and/or the myprou.co Service; trade secrets, inventions, research methods, methods of compiling information, methods of creating PRO's database, procedures, devices, machines, equipment, data processing programs, software, computer models, research projects, and other means used by PRO in the conduct of its business; product formulations, strategies and plans for future business, new business, product or other development, new and innovative product ideas, potential acquisitions or divestitures, and new marketing ideas; information with respect to costs, commissions, fees, profits, sales, markets, sales methods and financial information; mailing lists, the identity of PRO's customers, potential customers, distributors, and suppliers and their names and addresses, the names of customer representatives responsible for entering into contracts for PRO's products or services, the amounts paid by customers to PRO, specific customer needs and requirements, and leads and referrals to prospective customers; and the structure, sequence, and organization of PRO's database, together with source code and object code; and the identity of PRO's employees, their respective salaries, bonuses, benefits, qualifications and abilities. 3.3. The obligation of confidentiality shall not apply to any particular portion of Confidential Information which: (a) was in the public domain when PRO granted access to you; (b) entered the public domain through no fault of you subsequent to receipt; (c) was in your possession free of any obligation of confidence at the time of the disclosure by PRO; (d) was rightfully communicated by a third party to you free of any obligation of confidence subsequent to the time of the originating party's communication thereof to you; (e) was developed by you independently of and without knowledge or reference to any Confidential Information; (f) is approved for release by written authorization from PRO; or (g) is required to be disclosed pursuant to any statute, law, rule or regulation of any governmental authority or pursuant to any order of any court of competent jurisdiction; in the event of disclosure of confidential information, you will immediately notify PRO before disclosure in order to give PRO a reasonable opportunity to obtain a protective order or other form of protection. 3.6. You agree not to alone or in association with others use Confidential and/or trade secret information to: (a) solicit, or facilitate any organization with which you are associated in soliciting, any employee or customer of PRO to alter its relationship with PRO; (b) solicit for employment, hire, or engage as an independent contractor, or facilitate any organization with which PRO is associated in soliciting for employment, hire, or engagement as an independent contractor, any person who was employed by PRO at any time during the term of this User Agreement (provided, that this clause (c) shall not apply to any individual whose employment with PRO has been terminated for a period of one year or longer); or (d) solicit business from or perform services for any customer, supplier, licensee, or business relation of PRO, induce or attempt to induce, any such entity to cease doing business with PRO; or in any way interfere with the relationship between any such entity and PRO. 3.7. You agree that you will not make any derogatory statements, either oral or written, or otherwise disparage PRO, its products, employees, services, work and/or employment. In addition you will take all reasonable steps to prevent others from making derogatory or disparaging statements. You agree that it would be impossible, impractical, or extremely difficult to fix the actual damages suffered by reason of a breach of this paragraph, and accordingly hereby agree that five thousand dollars ($5,000) shall be presumed to be the amount of damages sustained by reason of each such breach, without prejudice to the right PRO to also seek injunctive or other equitable relief. 3.8. In no event shall you be deemed by virtue hereof to have acquired any right or interest by license or otherwise, in or to the Confidential Information. 3.9. You and PRO agree that all originals and any copies of the Confidential Information remain the property of PRO. You shall reproduce all copyright and other proprietary notices, if any, in the same form that they appear on all the materials provided by PRO, on all copies of the Confidential Information made by you. You agree to return all originals and copies of all Confidential Information in your possession and/or control to PRO at PRO's request. 3.10. You agree that, for the term of this User Agreement and for eighteen months thereafter, you shall not, without PRO's prior written consent, enter into any agreement with any PRO customer. If any PRO customer proposes an agreement to you, you shall refrain from entering into any such agreement and shall promptly notify PRO of the proposal. 4. GENERAL POLICIES RELATING TO USE OF WEBSITE 4.1. Prohibited Use. The myprou.co and/or the myprou.co Service are available to you solely for the purpose of assisting you in marketing and promoting your personal business, as expressly permitted by PRO. You may not cause harm to myprou.co or the myprou.co Service. Specifically, but not by way of limitation, you may not: (a) interfere with myprou.co and/or the myprou.co Service by using viruses, programs, or technology designed to disrupt or damage any software or hardware; (b) modify, create derivative works from, reverse engineer, decompile, or disassemble any technology used to provide myprou.co or the myprou.co Service; (c) use a robot, spider, or other device or process to monitor the activity on or copy pages from myprou.co and/or the myprou.co Service, except in the operation or use of an internet "search engine," hit counters, or similar technology; (d) impersonate another person or entity; (e) engage in any activity that interferes with another user's ability to use or enjoy myprou.co and/or the myprou.co Service; (f) assist or encourage any third party to engage in any activity prohibited by this User Agreement; (g) co-brand the myprou.co website or myprou.co Service; (h) frame myprou.co and/or the myprou.co Service; (i) or hyper-link to myprou.co and/or the myprou.co Service, without the express prior written permission of an authorized representative of PRO. 4.2. Privacy Policy. By entering into this User Agreement, you agree to PRO's collection, use and disclosure of your personal information in accordance with the Privacy Policy. 4.3. Ordering Policies. If you purchase any PRO product and/or service, you agree that this User Agreement limits your use of the product or service as well. 4.4. Password Restricted Areas of the Site. Most areas of myprou.co are password restricted to registered users ("Password-Protected Areas"). If you have registered as an authorized user to gain access to these Password-Protected Areas, you agree that you are entirely responsible for maintaining the confidentiality of your password, you agree to notify PRO if the password is lost, stolen, disclosed to an unauthorized third party, or otherwise may have been compromised. You agree that you are entirely responsible for any and all activities that occur under your account, including any fees that may be incurred under your password-protected account, whether or not you are the individual who undertook such activities. You agree to immediately notify PRO of any known unauthorized use of your account or any other breach of security in relation to your password or the Web Site that is known to you. 5. RESERVATION OF RIGHTS 5.1. Monitoring. PRO reserves the right, but does not assume the obligation, to monitor transactions and communications that occur through myprou.co. If PRO determines, in its sole and absolute discretion, that you or another myprou.co user has or will breach a term or condition of this User Agreement, or determines that such transaction or communication is inappropriate, PRO may cancel such transaction or take any other action to restrict access and availability of any material that may be considered objectionable, without any liability to you or any third party. 5.2. Modification of the Service. PRO may modify myprou.co and/or the myprou.co Service, including this agreement, at any time with or without notice to you, and will incur no liability for doing so. 6. ETIQUETTE 6.1. PRO asks that you respect the myprou.co online community. Your conduct when using myprou.co and the myprou.co Service should be guided by common sense and basic etiquette. To further these common goals, you agree not to: a) Disparage the products or services of any company or individual. b) Impersonate or represent PRO, PRO staff, or other industry professionals. c) Link to or post content not allowed on the Web Site. d) Solicit a user's password or other account information. e) Harvest user information for any purpose. f) Use racially or ethnically offensive language; discuss or incite illegal activity; use explicit/obscene language; or solicit/post sexually explicit images. g) Harass, threaten, or embarrass anyone. h) Post anything that you do not have the legal right to post; and i) Violate any law, or make any untrue or misleading statement. 7. SUBMISSIONS 7.1. Your Submissions. When you submit questions, comments, suggestions, ideas, message board postings, material submitted via web forms, contest entries, communications or any other information ("Submissions"), you grant PRO an unrestricted license to use such Submissions for any purpose, including without limitation: marketing and other promotional purposes and the right to sublicense. REPRESENTATIONS AND WARRANTIES 8.1. Mutual Representations and Warranties. Each party represents to the other that: (a) the party has the full power and authority to enter into and perform under this User Agreement, (b) the execution and performance of this User Agreement does not constitute a breach of, or conflict with, any other agreement or arrangement by which the party is bound, and (c) the terms of this User Agreement are a legal, valid, and a binding obligation of the party entering into this User Agreement, enforceable in accordance with these terms and conditions. 8.2. By You. You represent and warrant to PRO that, in your use of myprou.co and/or myprou.co Service, you: (a) will not infringe the copyright, trademark, patent, trade secret, right of privacy, right of publicity or other legal right of any third party; (b) will comply with all applicable laws, rules, and regulations; (c) will not disrupt or damage any software or hardware; and (d) you will provide correct, current, and complete billing and contact information. 9. DISCLAIMERS AND EXCLUSIONS 9.1. Disclaimer of Warranties. PRO provides myprou.co, the myprou.co service, and all content on an "as is" and "as available" basis. PRO does not represent or warrant that myprou.co, myprou.co service, or web site content, or use thereof: (a) will be uninterrupted, (b) will be free of inaccuracies or errors, (c) will meet your requirements, or (d) will operate in the configuration or with the hardware or software you use. 9.2. PRO makes no warranties other than those made expressly in this User Agreement, and hereby disclaims any and all implied warranties, including without limitation, warranties of fitness for a particular purpose, merchantability, and non-infringement. 9.3. Exclusion of damages. PRO will not be liable to you or any third party for any consequential, incidental, indirect, punitive, or special damages (including damages relating to lost profits, lost data, or loss of goodwill) arising out of, relating to or connected with the use of myprou.co and/or the myprou.co service, based on any cause of action, even if advised of the possibility of such damages. 9.4. Limitation of liability. In no event will PRO's liability in connection with your use of myprou.co and/or the myprou.co service exceed the lesser of: (a) the amount paid to PRO by you during the six months immediately preceding the event that gives rise to such liability, or (b) one hundred dollars ($100). 10. INDEMNIFICATION 10.1. You must indemnify and hold PRO and its employees, representatives, agents, members, directors, officers, managers and shareholders (the "Parties") harmless from any damage, loss, or expense (including without limitation, attorneys' fees and costs) incurred in connection with any third-party claim, demand, or action ("Claim") alleging that you have breached a provision in this User Agreement. PRO reserves the right, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and at your sole expense. You may not settle or otherwise resolve any Claim without PRO's express written permission. 11. TERMINATION, SUSPENSION & REVOCATION 11.1. Revocation. You agree that, under certain circumstances and without prior notice, PRO may suspend or revoke your license to use myprou.co and/or the myprou.co Service, including without limitation, if PRO believes, in its sole and absolute discretion, that you have breached a term of this User Agreement. You acknowledge and agree that all suspensions and revocations shall be made in the sole discretion of PRO and that PRO shall not be liable to you or any other party for said suspension and/or revocation. 11.2. Survival. Upon revocation, your license to use myprou.co, the myprou.co Service, and everything accessible by and/or through myprou.co and/or the myprou.co Service shall terminate and the remainder of this User Agreement shall survive indefinitely unless and until PRO chooses to terminate them. 11.3. Effect of Revocation. If you cancel or PRO revokes your use of myprou.co or the myprou.co Service, PRO may delete any Content or other materials relating to your use of the myprou.co Service on PRO's servers or otherwise in its possession. In the event that your account is cancelled or revoked, PRO will have no liability to you or any third party for doing so. 11.4. Effect of suspension. Should PRO deem it necessary to suspend your account, such suspension could mean that you may not have the right to represent yourself as an AFFILIATE of PRO. Further, any commissions or bonuses due will be held by PRO pending resolution of the suspension. At the discretion of PRO, company products and services may be purchased by a suspended Affiliate. 12. NOTICES 12.1. All notices required or permitted to be given under this Affiliate Agreement will be in writing and delivered to the other party by any of the following methods: (a) U.S. mail, (b) overnight courier, or (c) electronic mail. If you give notice to PRO, you must use the following addresses: PRO U, LLC., 12 Broad Street #403, Red Bank, NJ 07701. 12.2. If PRO provides notice to you, PRO will use the contact information provided by you to PRO. All notices will be deemed received as follows: (a) if by delivery by U.S. mail, seven (7) business days after dispatch, (b) if by overnight courier, on the date receipt is confirmed by such courier service, or (c) if by electronic mail, 24 hours after the message was sent, if no "system error" or other notice of non-delivery is generated. 12.3. Except as otherwise specified herein, you agree that email communication will satisfy any general requirement for "written" notice. 13. CLAIMS OF INFRINGEMENT 13.1. PRO respects the intellectual property of others, and we ask our users to do the same. PRO may, in appropriate circumstances and in its sole discretion, terminate service to users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact PRO's designated agent to receive notice of claimed infringement: PRO U, LLC., 12 Broad Street #403, Red Bank, NJ 07701. Provide the following information required by the Digital Millennium Copyright Act, 17 U.S.C. ¡± 512: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work; (iii) identification of the URL or other specific location on myprou.co where the material that you claim is infringing is located; (iv) your address, telephone number, and email address; (v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the in your notice is accurate and that you owner or authorized to act on the behalf. 14. MISCELLANEOUS 14.1. This User Agreement will be binding upon each party hereto, its successors, and permitted assigns. This User Agreement is governed by and construed in accordance with the laws of the State of New York without reference to conflict of law principles. Any claims or disputes between parties to this Agreement shall be subject to binding arbitration under the Commercial Rules of the American Arbitration Association, with arbitration to be held in New York. Louisiana residents may choose jurisdiction in, and arbitrate in New Orleans, Louisiana (See LA. Rev. Stat. Sec. 51:1418). 14.2 This User Agreement will not be assignable or transferable by you without the prior written consent of PRO. This User Agreement (including all of the policies and other Agreements described in this User Agreement, which are hereby incorporated herein by this reference) contain the entire understanding of the parties regarding its subject matter, and supersedes all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. No failure or delay by a party in exercising any right, power, or privilege under this User Agreement will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any further exercise of such rights. Any rights not expressly granted herein are reserved. You and PRO are independent contractors, and no agency, partnership, joint venture, or employee-employer relationship is intended or created by this User Agreement. The invalidity or unenforceability of any provision of this User Agreement will not affect the validity or enforceability of any other provision of this User Agreement, all of which will remain in full force and effect. 15. MASTER MARKETING EVENTS - SHOULD YOU ATTEND 15.1. PRO, its officers and directors, and its Consultants, do not offer legal, investment, financial or medical advice. I agree that I will not hold PRO, its management, ownership, or Consultants liable should I utilize any of the information learned at the event. 15.2. PRO has attempted to perform extensive due diligence on the individuals/companies presenting; however each attendee should also seek appropriate legal and/or financial advice from a licensed professional before implementing a particular strategy following the PRO Master Marketing Event. 15.3. The education presented at each event CANNOT be shared with non-attendees of the conference. I understand and agree to a complete Confidentiality & Non-Disclosure Agreement. 15.4. I understand that pictures and videos will be taken during the Master Marketing Event, and I authorize PRO to use these in their marketing efforts, should they choose. 15.5. I will not make an audio or video recording of the conference. Recordings of ANY kind are strictly prohibited. 15.6. While attending, and following the event, I will not offer investments or other products of any kind to attendees of the PRO Master Marketing Event. Cross marketing is strictly prohibited and I will not use this event to further an outside personal or business interest of any kind. 15.7. I understand that should I violate any of the these PRO Policies, I may be asked to leave the Marketing Event and that I also risk losing my PRO Membership privileges. 16. MEDIA INTERVIEWS 16.1 Affiliates are prohibited from granting radio, television, newspaper, or magazine interviews, or using public appearances, public speaking engagements, or making any type of statement to the public media to publicize PRO, its products, services or their individual PRO business, except with the express, written approval of PRO. All media contacts and inquiries must be coordinated through the approval and representation of an official PRO Company Spokesperson. 17. RELEASE FOR USE OF PHOTO, AUDIO, OR VIDEO IMAGE, AND/OR TESTIMONIAL ENDORSEMENT 17.1. As a PRO AFFILIATE, you grant to PRO, its successors, assignees, employees and agents, the absolute and irrevocable right and permission, to reproduce and use, broadcast, publish, or republish any photos, audios, videos, or endorsements made by it of you or given by you, in all or in part, individually or in conjunction with any other photograph, audio or video, or any other endorsement, in any current or future medium and for marketing, advertising, promotion, and/or publicity purposes. In addition, you grant PRO the right to apply for copyright protection for such photograph, audio works and/or video works, in the name of PRO. 17.2. In addition, to the extent you own any right, title, or interest, including any copyrights, in any photograph, audiovisual works, any endorsement, or other original works of authorship in connection with PRO products, services, or business, you shall promptly assign any and all such rights, title, and interest to PRO, and assist PRO to obtain copyright protection or other forms of protection for such assigned rights. You agree that any use by PRO as set forth in this section shall be royalty free and not subject to any other claim. 17.3. You confirm that the information you give as a testimonial endorsement, or as represented in a photograph, video, or audio is true and accurate to the best of your knowledge. You waive any right you may have to inspect, approve, or revoke the finished or unfinished product(s), the advertising copy, printed, recorded, photographic, or video matter that may be used in connection with it or any use that may be made of it. 17.4 You agree to release and discharge PRO, its successors, assignees, employees, and agents, from any and all liability, claims and/or demands arising out of or in connection with the creation and the use of any photograph, video, audio or endorsement, including any claim for slander or defamation. 17.5 All testimonials and images associated with such testimonials are the property of PRO and the individual who gave the testimonial. If an Independent Associate wishes to use a testimonial in an approved website or marketing material they must receive prior written permission from PRO and the testimonial giver. 17.6 Testimonials include all testimonials distributed by PRO on any PRO website or PRO marketing materials. A. MARKETING AND TRADEMARKS A.1. PRO is designed to provide a level playing field for all its independent Affiliates and to prevent "sponsor shopping" (and cross recruiting) by or on behalf of its Customers/Users. In the case of a dispute, the new Customer enrollment is credited to the affiliate who FIRST generated the new Customer as a lead or application. The disputing affiliates may agree to allow a new Customer to move if the Customer agrees, but the credit for the enrollment rightfully belongs to the affiliate that generated the original lead or application. A.2. Cross Recruiting: a) PRO will not tolerate any active marketing of personal services, or proprietary derivatives of personal services, to any PRO member outside of your personal sales organization. This process, known as "cross recruiting" will result in immediate account suspension. b) PRO is designed provide an equal opportunity for every marketer regardless of their experience and level of income. In order to maintain the integrity of the system, PRO uses a 3-strike "poaching" policy. Automatic monthly internal account audits ensure that new members are enrolled under the appropriate sponsor. c) All PRO members who are found to enroll a new member who is NOT originally their applicant will be asked to explain why they enrolled that new member. If a satisfactory explanation for the violation cannot be provided, the account will be noted with a "strike." All members start with zero strikes and are allowed two strikes. Once a total of three strikes has been accumulated, the account will automatically be suspended for 30-days and labeled as "high risk" while we conduct a full audit and review of the account. d) It is your responsibility to ensure that every member you enroll is YOUR applicant and not someone else's. If you are are unsure or feel like your prospect may not be completely honest with you, email support@myprou.co to verify if there is already an application in the system for this person. e) We suggest that you specifically ask EVERY prospect if they have already spoken with another PRO member or submitted an application. If in doubt, you can even tell them that poaching and cross recruiting is strictly forbidden and that your account could possibly be suspended if you enroll them. A.3. Any ads or sales copy that mentions "PRO" or any protected variation must be truthful, compliant, and cannot mislead to misrepresent in any way. In addition, you must include a disclaimer indicating that your site is not an official site of PRO. You agree to follow all compliance guidelines and income disclaimer requirements as described by this Agreement. If you receive a cease and desist letter for an ad, site, URL, domain name, etc. that belongs to you, your account will be suspended until the content is removed. If you receive a second letter from PRO Corporate Compliance, your account will be suspended indefinitely. You may appeal to have your account reinstated by sending an email to support@myprou.co with legitimate proof that the infraction was not intentional, and that you took the necessary steps to remove your ads the first time you were warned. A.4. Personal Websites. Any personal website mention of PRO marketing website must carry the following disclaimer at the bottom of the page in 12pt black font: "This is NOT an official PRO marketing website and the opinions and views expressed on this website are the website owner's ONLY. PRO has not verified any of the information supplied on this page and takes no responsibility for this website." A.5. Negative advertising. Using negative advertising against any other company, producer, or marketing system is strictly prohibited. Using another company's trademark in an ad or keyword can result in a cease and desist demand from that company. If PRO receives a cease and desist letter for an ad that belongs to you, your account will be suspended until that ad is removed. If PRO receives a second letter, your account will be suspended indefinitely. You may appeal to have your account reinstated by sending an email to support@myprou.co with legitimate proof that this infraction was not intentional and that you took the necessary steps to remove your ads the first time you were warned. A.6. Income Claims. No income claims or representations, expressed or implied, may be made regarding the PRO Affiliate Compensation Plan, or any PRO product or service except as to conform fully with the specific terminology, numbers and contextual references, including all disclaimers and disclosures, set forth in official PRO publications. You must include in or on such reproductions full and complete copies of all income disclaimers and income disclosures published by PRO in its copyrighted publication of such materials. Disclaimers must be clear, conspicuous, and used on every sales page. If you represent a claim above the average, you must also disclose the generally expected performance in the depicted circumstances, accompanied by adequate substantiation for such claims. Failure to comply with this requirement can result in immediate suspension and/or revocation of your User privileges. Every claim that is above the average user expected income must include the following disclaimer on the same page in 12pt black font: "PRO is an education company and marketing platform. PRO Marketer customers may also be PRO Affiliates, and thus have the capacity to earn commissions by referring people to our products and services. The average affiliate commissions earned by PRO Marketer Affiliates is approximately $200 per month. Many of our top income members (some of which have provided written and video testimonials on our sites) earned the majority of their income by selling other company's products to customers through using the strategies of PRO. We are unable to disclose the average incomes for selling non-PRO products, as such incomes are not tracked. However, PRO maintains notarized affidavits for every income claim on our site. Full Earnings Disclosure ["Earnings Disclosure" linked to http://secureonlinecart.net/zearnings.php] A.7. Results. PRO does not guarantee any financial results to its Users. Financial results will vary by individual. If you wish to get better results please check PRO¡¦s forum, call your sponsor, or attend PRO¡¦s training calls for tips. A.8. Emails & Autoresponder. PRO gives every consultant the opportunity to use our in house autoresponder for no additional charge. You are responsible for the messages that are sent to your leads if you choose to use your own autoresponder and build your own list. PRO will not tolerate any messages sent out that are non-compliant. If you choose to use the in house autoresponder you understand that you are forfeiting exclusive rights to any leads of applications that are generated and PRO will own the rights to these contacts. PRO reserves the right to do with them anything we deem appropriate. A.9. Primary Programs: a) PRO marketing and promotional ad copy templates are designed for general use in promoting or advertising any of a wide variety of "Primary Program" products and business enterprises, including but not limited to, direct sales and network marketing. PRO is NOT affiliated with, and does not endorse any particular "primary program", venture, product or category of products which may be promoted or advertised by any PRO user using the templates. PRO is an independent marketing system. b) PRO is not responsible for any corporate decisions or actions taken by any Primary Program that a member chooses to market using PRO. Any concerns with any Primary Program's corporate policies should be directed to their compliance department. B. EARNING MONEY AS AN AFFILIATE B.1. Statement of Policies & Procedures a) Members must agree to the Terms of Use prior to joining PRO. PRO reserves the right to decline new or terminate existing Members at any time. b) Legal age. Members must be of legal age in the state or province of their residence. c) Only Affiliates and (non-Student Only) Members that have qualified as Affiliates can earn commissions on PRO product/service sales. d) No purchase required. Affiliates are NOT required to purchase any PRO products or services. e) Legal compliance. All Members shall comply with all federal and state statutes, state and local regulations, and local ordinances concerning the operation of their businesses. All Members are responsible for their own managerial decisions and expenditures, including all estimated income and self-employment taxes. f) Independent Contractor status. All Members are independent contractors with PRO, Members are not franchisees, joint ventures, partners, employees, or agents of PRO. Members are strictly prohibited from stating or implying, whether orally or in writing, that they are franchisees, joint ventures, partners, employees, or agents of PRO. Members may not bind PRO to any obligation. g) Taxes. Members will be treated as independent contractors for all federal or state tax purposes. As independent contractors, Members will not be treated as employees, franchisees, joint ventures, partners, employees, or agents with respect to the Internal Revenue Code, Social Security Act, Federal Unemployment Act, state unemployment acts, or any other federal, state, or local statute, ordinance, rule, or regulation. h) Payments: In order to receive payment for earnings, all affiliates will be required to submit a IRS Form W-9 for US entities or W-8BEN for non-US entities. Then at the end of each calendar year, PRO will issue an IRS Form 1099-MISC to US entities for non-employee compensation for Members as required by law. i) Amendments. PRO may, from time-to-time and at its discretion, amend the commission structure, the Statement of Policies and Procedures and/or the terms of the Member/Affiliate Agreement. Notification of such changes shall be published in newsletters, broadcast by Email, written, or published in material circulated or made available to all Independent Members. I agree to abide by all such amendments. The continuation of my PRO Business, my purchase of products and/or my acceptance of commissions, bonuses or other payments from the Company, constitutes my acceptance of any and all amendments. j) Sale or Transfer. My Membership cannot be sold, assigned, or transferred without prior, written approval from PRO. k) Entire Agreement. This Agreement constitutes the entire agreement between the parties, and no other promises, representations, guarantees, or agreements of any kind shall be valid unless in writing. If any provision herein is held to be invalid, all other provisions shall remain valid and enforceable. l) Any person who has a negative balance at the end of the month may be charged for the balance whether their account is active or cancelled. m) CarbonCopyPRO does not guarantee any financial results to its members. Financial results will vary by individual. If you wish to get better results please check our forum, call your sponsor, or attend our training calls for tips. B.2. Earnings. Your monthly earnings are a total of your commissions, fees and payments. Minimum check payments each month are $150. We aim to mail all earnings checks each month by the 15th of the following month. We aim to keep your earnings balance to at least $100 to help cover potential refunds (so if your earnings are $320 for the month, expect a check to be mailed for $220 by the 15th of the following month). Earnings of less than $249.75 will be carried forward to the next month. If your account is cancelled you can still be paid your earnings (whether you are owed more or less than $250) by contacting support@myprou.co.
